Important notice: NearSupply Sourcing is a managed procurement facilitation platform. NearRange LLC is not a buyer, seller, manufacturer, or logistics provider. We do not take ownership of goods, services, or funds exchanged between buyers and suppliers. By using this platform, you acknowledge and accept the limitations of our role as described in these Terms.

Section 01

About NearSupply and NearRange

NearSupply Sourcing ("the Platform", "we", "us", "our") is a managed procurement facilitation service operated by NearRange LLC ("NearRange"). The Platform provides digital tools and workflows for structured sourcing events including Requests for Quotation (RFQ), Requests for Information (RFI), and Requests for Proposal (RFP).

NearRange is a technology and operations company. We are not a trading company, distributor, reseller, manufacturer, freight forwarder, or financial institution. We provide a neutral, governed environment in which buyers and suppliers can conduct structured commercial procurement activities.

By registering for and using this Platform, you ("User") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Platform.

Section 02

Platform Role and Limitations

NearSupply acts solely as a facilitation platform. Our role is limited to:

NearRange is not a party to any commercial transaction, contract, purchase order, or agreement formed between buyers and suppliers on this Platform. All commercial agreements are formed directly between the buyer and the supplier. NearRange has no responsibility for the execution, fulfillment, or outcome of any such agreement.

NearRange does not verify the accuracy of product specifications, pricing, delivery commitments, certifications, or any other information submitted by users. Buyers and suppliers are solely responsible for conducting their own due diligence before entering into any commercial commitment.

User Eligibility and Accounts

To use the Platform, you must:

You are responsible for all activity that occurs under your account. NearRange reserves the right to suspend or terminate any account that violates these Terms, without prior notice.

By registering, you represent and warrant that all information you provide is truthful, accurate, and not misleading. Providing false information is grounds for immediate account termination.

Section 04

Buyer Responsibilities

As a buyer using the Platform, you are solely responsible for:

NearRange does not guarantee that any supplier on the Platform will fulfill their commitments, deliver conforming goods or services, or perform to any specific standard. Buyer due diligence is essential and cannot be replaced by Platform membership status or verification badges.

Supplier Responsibilities

As a supplier using the Platform, you are solely responsible for:

NearRange is not responsible for any defective products, delayed deliveries, poor workmanship, or failure to fulfill orders. All liability arising from the supply of goods or services rests entirely with the supplier who made the commercial commitment to the buyer.

Disclaimer of Liability

To the maximum extent permitted by applicable law, NearRange LLC expressly disclaims all liability for:

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. NearRange does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

In no event shall NearRange's total liability to any user exceed the amount paid by that user for Platform services in the three (3) months preceding the claim.

Section 08

Intellectual Property

All content on the Platform including but not limited to design, software, workflows, branding, text, and graphics is the property of NearRange LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

By submitting content to the Platform (including company profiles, product catalogs, and event responses), you grant NearRange a non-exclusive, royalty-free license to use that content for the purpose of operating and improving the Platform.

You retain ownership of all content you submit. NearRange does not claim ownership over your business information, quotations, or commercial data.

Section 09

Membership and Payments

Supplier membership plans are offered on a subscription basis. By subscribing to a membership plan, you agree to the pricing and billing terms presented at the time of subscription.

All membership fees are non-refundable unless otherwise stated at the time of purchase or required by applicable law. NearRange reserves the right to modify membership pricing with reasonable advance notice.

Membership status does not constitute an endorsement, verification, or guarantee of any supplier's quality, reliability, or financial standing. It represents access to Platform features only.

Payment processing is handled through WooCommerce and the payment providers available on our store. NearRange is not liable for payment processing errors, fraud, or disputes handled by third-party payment processors.

Section 10

Termination

NearRange reserves the right to suspend or terminate any user account at any time, with or without notice, for violations of these Terms or for any conduct that NearRange determines to be harmful to the Platform, other users, or NearRange itself.

Users may terminate their accounts at any time by contacting us at admin@nearsupply.com. Upon termination, your right to access the Platform ceases immediately. Data retention upon termination is governed by our Privacy Policy.

Provisions of these Terms that by their nature should survive termination shall survive, including disclaimer of liability, intellectual property, and governing law.

Section 11

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the UAE.

Before initiating any formal legal proceedings, users agree to first attempt to resolve disputes by contacting NearRange directly at admin@nearsupply.com and allowing a reasonable period for resolution.

NearRange reserves the right to amend these Terms at any time. Continued use of the Platform after amendments constitutes acceptance of the revised Terms. We will notify users of material changes by email or prominent notice on the Platform.
